Corporate and Commercial Law

Corporate and Commercial Law

Advice to companies on corporate, contractual and commercial matters, supporting the structuring and development of their activities and business relationships.

What we do

We support the company in its day-to-day legal decisions and in the transactions that mark its growth, with a practical, business-oriented outlook.

  • Incorporation of companies and choice of the corporate form best suited to each project.
  • Drafting and review of by-laws, incorporation documents, shareholders' agreements and internal regulations.
  • Corporate governance: meetings, minutes, appointment of officers and compliance with corporate obligations.
  • Drafting and review of commercial contracts: distribution, agency, supply, services, sale of goods, business collaboration and confidentiality.
  • Corporate amendments, transfers of shares or equity interests and legal support in investment transactions.
  • Advice to foreign companies and entrepreneurs on establishing and developing activities in Paraguay.

A practice integrated with Intellectual Property

For many companies, a substantial part of their value lies in intangible assets such as their trademarks, software, copyright, designs and know-how. Our corporate practice is integrated with our Intellectual Property practice so that the corporate structure, the contracts and the ownership of these assets are aligned from the start, which is particularly relevant when bringing in partners, raising investment or expanding into other markets.

We analyse each transaction from a legal and a business perspective, seeking clear, efficient structures suited to the client's specific needs.

For foreign companies

We advise foreign companies on choosing and structuring the appropriate legal form for carrying out activities in Paraguay, on their contractual relationships with local distributors, suppliers and partners, and on the protection of their intellectual property assets in the country. We provide service in Spanish, English and Portuguese.

Frequently asked questions

Which type of company is best for starting a business in Paraguay?

It depends on the number of partners, the capital, the liability you are prepared to assume and the plans for growth or investment. We analyse the case and recommend the most suitable structure, with its costs and obligations.

Do I need a shareholders' agreement if I already have by-laws?

The by-laws set out the general rules for the organisation and operation of the company. A shareholders' agreement makes it possible to regulate the relationship between the partners in greater detail, including decision-making, contributions, transfers of equity, the exit of partners and dispute resolution. It is especially advisable whenever there is more than one partner.

Can you advise a foreign company that wants to operate in Paraguay?

Yes. We advise on the legal structure, local contracting and the protection of trademarks and assets in the country, communicating in English and Portuguese.
